Acceptance of terms
By accessing or using the Simpletrak platform ("Service"), creating an account, or clicking to accept these Terms of Service, you agree to be bound by these terms and our Privacy Policy, which is incorporated by reference.
If you are using Simpletrak on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms. In that case, "you" refers to the organisation.
If you do not agree to these terms, do not use the Service.
About Simpletrak
Simpletrak is a cloud-based quality management system (QMS) platform operated by Ion Connect Ltd. The platform provides tools for quality management, health and safety, environmental compliance, job tracking, and AI-assisted compliance workflows.
The Service is provided on a subscription basis. Access to certain features may depend on your chosen subscription plan.
Account registration
To use Simpletrak you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the security of your account credentials
- All activity that occurs under your account
- Notifying us promptly if you become aware of any unauthorised access to your account
- Ensuring all users added to your account comply with these terms
You may not share your account credentials with individuals outside your organisation, transfer your account to another party, or create accounts for the purpose of reselling access to the Service.
We reserve the right to suspend or terminate accounts where we have reason to believe credentials have been compromised or the account is being used in violation of these terms.
Subscriptions & billing
Simpletrak is offered on a subscription basis, billed either monthly or annually. All prices are displayed on our pricing page and are exclusive of any applicable taxes.
- Monthly subscriptions are billed on the same date each month and renew automatically unless cancelled before the next billing date
- Annual subscriptions are billed upfront for the full year and renew automatically unless cancelled at least 14 days before the renewal date
- Payment is processed securely by Stripe. We do not store your card details
- Failed payments will result in a grace period of 7 days, after which access to the Service may be suspended until payment is received
- Price changes will be communicated at least 30 days before taking effect for existing subscribers
All subscription fees are non-refundable except where required by applicable law or as set out in our cancellation terms below. If you believe a billing error has occurred, contact us within 30 days of the charge via our contact form.
Free trial
We offer a 30-day free trial to new customers. During the trial period you have access to the full Service. The following conditions apply:
- One free trial per organisation — we reserve the right to revoke trial access where we believe it is being misused
- At the end of the trial period your chosen subscription billing will begin automatically
- If you do not wish to continue, you must cancel before the trial ends — no charge will be made
- Data entered during the trial is retained when you convert to a paid subscription
- Data entered during the trial will be deleted 30 days after trial expiry if you do not subscribe
We reserve the right to modify or discontinue the free trial offer at any time without notice to prospective new customers.
Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these terms. You must not:
- Use the Service to violate any applicable law or regulation
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit malicious code, viruses, or any software designed to damage or intercept data
- Scrape, copy, or extract data from the Service by automated means without our written consent
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Resell, sublicense, or provide access to the Service to third parties outside your organisation without our written consent
- Use the Service to store or transmit content that is illegal, defamatory, or infringes third-party rights
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Violation of this acceptable use policy may result in immediate suspension or termination of your account without refund.
Your content & data
Your data belongs to you. You retain full ownership of all content, records, documents, and data you upload to or create within Simpletrak ("Customer Data").
By using the Service, you grant us a limited, non-exclusive licence to process your Customer Data solely for the purpose of providing and improving the Service. We do not claim any ownership rights over your data.
You are responsible for:
- Ensuring you have the right to upload any content or data to the Service
- The accuracy and legality of your Customer Data
- Maintaining your own backups of critical data — while we maintain backups, you should not rely solely on us for data recovery
Upon termination of your account, you may export your data within the 90-day retention window. After that period your data will be permanently deleted from our systems.
Simple AI
Simpletrak includes AI-powered features ("Simple AI") that analyze your Customer Data to generate insights, recommendations, drafts, and outputs. The following terms apply specifically to Simple AI:
- Your data stays yours: Simple AI operates only on your organisation's data within your account — your data is never used to train models shared with other customers
- AI outputs are suggestions: All outputs generated by Simple AI — including root cause analyses, corrective action drafts, risk scores, and management review summaries — are suggestions for your review. You are responsible for verifying accuracy before acting on them
- Not professional advice: Simple AI outputs do not constitute legal, regulatory, safety, or professional advice. You should not rely solely on AI-generated outputs for compliance decisions
- Accuracy: While we work hard to ensure quality, AI outputs may contain errors or omissions. We make no warranty as to the accuracy, completeness, or fitness for purpose of any AI-generated content
Intellectual property
The Simpletrak platform, including its software, design, features, branding, and all associated intellectual property, is owned by Ion Connect Ltd and protected by applicable intellectual property laws.
We grant you a limited, non-exclusive, non-transferable licence to access and use the Service during your subscription period, solely for your internal business purposes in accordance with these terms.
This licence does not include the right to:
- Copy, modify, or create derivative works of the Service or any part of it
- Use our brand, trademarks, or logos without prior written consent
- Sub-license or transfer your right to use the Service to any third party
Any feedback, suggestions, or ideas you share with us about the Service may be used by us without obligation to you.
Confidentiality
Each party agrees to keep the other's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except:
- To employees or contractors who need to know it to perform their obligations, and who are bound by equivalent confidentiality obligations
- As required by law, regulation, or court order — in which case the disclosing party will give the other as much advance notice as reasonably possible
"Confidential information" means any non-public information disclosed by one party to the other that is identified as confidential or that ought reasonably to be treated as confidential given its nature and the circumstances of disclosure.
Your Customer Data is treated as your confidential information. Our platform architecture, pricing structures, and unreleased feature roadmap are our confidential information.
Availability & support
We target 99.9% platform uptime, excluding scheduled maintenance windows which we will announce in advance where possible. We do not guarantee uninterrupted, error-free service.
Support is provided via our contact form. We aim to respond to all support enquiries within 1 business day. Support is available during business hours in your region.
Scheduled maintenance will be performed during off-peak hours where possible. We will provide at least 24 hours notice of planned downtime that may affect your use of the Service.
Disclaimers
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. To the fullest extent permitted by law, we disclaim all warranties including but not limited to:
- Merchantability, fitness for a particular purpose, and non-infringement
- That the Service will be uninterrupted, error-free, or free from viruses or other harmful components
- That the results obtained from using the Service will be accurate, reliable, or meet your requirements
- That any defects or errors will be corrected
Simpletrak is a compliance management tool. It does not guarantee that your organisation will pass any audit, achieve any certification, or satisfy any regulatory requirement. Compliance outcomes depend on your organisation's own processes, data accuracy, and the actions you take.
Limitation of liability
To the maximum extent permitted by applicable law, in no event shall Simpletrak or Ion Connect Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or data
- Loss of business or contracts
- Failed audits or loss of certification
- Business interruption
- Any other commercial losses
Our total aggregate liability to you for any claims arising under or related to these terms or the Service shall not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability — in those jurisdictions our liability is limited to the fullest extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless Simpletrak, Ion Connect Ltd, and our officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:
- Your use of the Service in violation of these terms
- Your Customer Data, including any claims that it infringes third-party rights
- Your violation of any applicable law or regulation
- Any misrepresentation you make in connection with the Service
Termination
Cancellation by you: You may cancel your subscription at any time through your account settings or by contacting us via the contact form. Monthly subscribers retain access until the end of the current billing period. Annual subscribers retain access through the end of the paid period. No refunds are issued for unused time except where required by law.
Termination by us: We may suspend or terminate your account immediately if:
- You breach these terms and fail to remedy the breach within 14 days of notice
- You fail to pay any amounts due and the failure persists beyond the grace period
- We are required to do so by law or regulatory authority
- We reasonably believe your use of the Service poses a security risk to other users
Effect of termination: Upon termination, your right to access the Service ceases immediately. Your Customer Data will be retained for 90 days, during which you may request an export. After that period it will be permanently deleted.
Governing law
These terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
Any dispute arising from or relating to these terms or the Service that cannot be resolved through good-faith negotiation shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
For customers based in the European Union or United Kingdom, nothing in these terms affects any mandatory statutory rights you have under applicable consumer or data protection law.
Changes to these terms
We may update these Terms of Service from time to time. When we make material changes we will:
- Update the "Last updated" date at the top of this page
- Notify active subscribers by email at least 14 days before the changes take effect
- In some cases, require your affirmative acceptance of updated terms before continued use
Your continued use of the Service after changes take effect constitutes acceptance of the revised terms. If you do not agree to the revised terms you should cancel your subscription before they take effect.
